Due Diligence is the process of investigation, verification and assurance of the information presented by the buyer about a business. By the time a business purchaser gets to the Due Diligence stage they should have accepted in principle they want to buy the business. A heads of agreement should have been prepared and price should have already been negotiated. The sale should be subject to this due diligence. There may be some contract adjustments as a result of findings in the due diligence process. The deal may fall through as a result of this process.
